1. ACCEPTING THESE TERMS 

This document, our rules, policies, and the other documents referenced make up our Terms of Service (“Terms”). The Terms are a legally binding contract between you and Virtual Brain Health Center. 

 

This contract sets out your rights and responsibilities when you use https://www.virtualbrainhealthcenter.com/. Please read them carefully.

 

2. CHANGES 

We may amend the Terms at any time by posting a revised version on our website. The revised version will be effective at the time we post it. If we change the Terms in a way that reduces your rights or increases your responsibilities, we will provide you with a notification.

 

3. ACCESS

You are granted a non-exclusive, limited, and revocable license to access the site and use its functionality on the condition that: 

(a) You are over the age of 18.

(b) You only use the website for lawful purposes.

(c) You do not engage in any improper, indecent, or offensive behavior while using the website.

(d) You are not breaking any law in your relevant jurisdiction by accessing this website.

(e) You will treat the website and its users with respect and will not partake in any conduct that could be considered bullying, harassment, degradation, insulting or otherwise demeaning to the human standard of any other person (as determined by us). 

4. EQUIPMENT 

Virtual Brain Health Center bears no responsibility for the student’s equipment (e.g., computer, modem, internet connection, speakers, webcam, microphones, and bandwidth). In other words, you are exclusively responsible for the condition of your personal equipment and for performing the obligatory technical checks at commencement of this agreement and prior to attending the Virtual course. 

 

5. COPYRIGHT 

All intellectual property rights for all course materials shall remain the property of Virtual Brain Health Center. You agree not to reproduce, sell, hire, lend or copy the course materials or use them except for the purpose of personal reference. Virtual Brain Health Center warrants that it will not knowingly include any copyrighted material in its course materials without license or consent.

6. PROHIBITED USES 

You may not use, encourage, promote, facilitate, instruct, or induce others to use the website or website services for any activities that violate any law, statute, ordinance, or regulation; or for any other illegal or fraudulent purpose or any purpose that is harmful to others; or to transmit, store, display, distribute or otherwise make available content that is illegal, fraudulent, or harmful to others.

 

7. AUDIENCE AND PRICES

Our target audience is mainly adults who are eager to learn more about brain health - mainly adults aged 50+- although brain health is for everyone. We serve adults aged 18 and above through our Virtual services. 

Each class is offered for a nominal fee and is a live-streamed event. At this time; the Virtual Brain Health Center does not provide a recording of the classes after the session for attendees or individuals who registered to attend a virtual class. Since our classes are offered live, the Virtual Brain Health Center does not offer a course refund for cancellations unless they are made prior to 72 hours before the class for students. In the event there is need for cancellation of a class by the Virtual Brain Health Center, there will be a refund or course credit issued. Students are required to pay per class or have the option to purchase a gift card for credits.

 

8. COPYRIGHT INFRINGEMENT 

Virtual Brain Health Center is committed to complying with copyright and related laws and requires all website visitors and users to comply with these laws. Accordingly, you may not use the website to store any material or content, or disseminate any material or content, in any manner that constitutes an infringement of third-party intellectual property rights. 

 

9. USER CONTENT 

Content that you post using our website must be content you own or have the right to use (referred to it as “Your Content”). That includes anything you post using our website.

 

• Responsibility for Your Content. You are solely responsible for Your Content. You represent that you have all necessary rights to Your Content and that you are not infringing or violating any third party’s rights by posting it. 
• Permission to Use Your Content. By posting Your Content through our website, you grant Virtual Brain Health Center a license to use it. We do not claim any ownership to Your Content, but we have your permission to use it to help Virtual Brain Health Center function and grow. 

 

 

10. PASSWORD SECURITY 

You are responsible for maintaining adequate security and control of any password that you use to access your Virtual Brain Health Center account. Do not discuss, compare or share information about your password. Virtual Brain Health Center supports single users and/or household users. This means that we permit more than one individual to be on a device as long as it is paid for. 

 

11. RATES

Virtual Brain Health Center charges individual and group rates at different rates therefore you are required to contact us for more details on the most suitable rates. 

 

12. SECURITY 

Virtual Brain Health Center ensures the protection and honesty of the data it gathers by utilizing fitting authoritative conventions, specialized shields, and actual security controls intended to restrict access, identify, and forestall the unapproved access, inappropriate divulgence, adjustment, or obliteration of the data under its influence. 

 

13. TERMINATION 

Virtual Brain Health Center reserves the right to change, suspend, limit, or discontinue any of its Services, in whole or in part at any time for any reason, without notice (unless required by law).

 

We may refuse service to anyone and may terminate or suspend your services and your access to the website in whole or in part at any time, for any reason, without notice (unless required by law). 

14. LIMITATIONS 

In no event will Virtual Brain Health Center be liable to you for any indirect, incidental, special, consequential, or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising out of or relating to your access to or use of, or your inability to access or use, the website or any materials or content available through the website, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not Virtual Brain Health Center has been informed of the possibility of damage.

 

15. ENFORCEMENT 

Virtual Brain Health Center has the absolute discretion of enforcing legal measures such as penalizing users who purchase individual user accounts for group users. 

 

16. RESPONSIBILITY 

As a user, you acknowledge that Virtual Brain Health Center does not provide professional medical and/or health care and that you voluntarily consent to engage in the services offered by Virtual Brain Health Center. In light of the foregoing you are always required to consult with your health care provider and/or medical professional in the event you experience health-related changes while using the Virtual Brain Health Center. Users are free to opt-in or out of the services offered by Virtual Brain Health Center at any given time. You acknowledge that Virtual Brain Health Center will not be responsible for your health. 

 

17. INDEMNIFICATION 

You agree that you will be responsible for your use of the website, and you agree to defend and indemnify Virtual Brain Health Center from and against every claim, liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: (i) your access to, use of, or alleged use of, the website; (ii) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (iii) your violation of any third party right, including any intellectual property right or publicity, confidentiality, other property, or privacy right; or (iv) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of that claim.

18. WAIVER 

No waiver of any provision hereof shall be effective unless made in writing and signed by the waiving party. The failure of any party to require the performance of any term or obligation of this Agreement, or the waiver by any party of any breach of this Agreement, shall not prevent any subsequent enforcement of such term or obligation or be deemed a waiver of any subsequent breach.

 

19. ENTIRE AGREEMENT 

This Agreement contains the entire agreement and understanding among the parties hereto with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, inducements, and conditions, express or implied, oral or written, of any nature whatsoever with respect to the subject matter hereof. The express terms hereof control and supersede any course of performance and/or usage of the trade inconsistent with any of the terms hereof.
